About these terms
These terms apply when you use Certly, on this website and in the product. In them, "we", "us" and "our" mean Kaleido Ltd, a company registered in England and Wales, company number 17516332, whose registered office is at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, and "you" means the business or other organisation that holds the account, and anyone it lets use it. By creating an account or using Certly, you agree to them.
Certly is sold to businesses, for use in the course of their business. If you use it for a business, you confirm that you are able to agree to these terms on its behalf. Where personal data is involved, our data processing agreement forms part of these terms (data processing agreement).
If you use Certly as a consumer, for purposes outside your trade, business, craft or profession, nothing in these terms affects your legal rights as a consumer, and where these terms and those rights differ, those rights apply.
What Certly is
Certly is the product described on this website. We keep improving it, so its features may change. We will not take away a part of it you have paid for without telling you first.
Your account
You must be at least 18 to create an account. Give us accurate details and keep them up to date, keep your sign-in details safe, and tell us straight away if you think someone else has used your account. You are responsible for what is done under your account, including by the people you let use it.
Plans and payment
Certly offers these plans:
- Starter: £149 / month, starting with a free trial of 14 days
- Professional: £249 / month, starting with a free trial of 14 days
- Unlimited: £399 / month, starting with a free trial of 14 days
- Starter annual: £1,519.80 / year, starting with a free trial of 14 days
- Professional annual: £2,539.80 / year, starting with a free trial of 14 days
- Unlimited annual: £4,069.80 / year, starting with a free trial of 14 days
The price you pay is the one shown when you confirm a purchase. Any VAT or other tax due is shown at checkout before you pay. Payments are taken by Stripe. We never see or store your full card number.
Free trials
A free trial lasts the number of days shown for its plan. If you cancel before it ends, you are not charged. No card is asked for to start a trial.
Renewal and cancellation
A plan paid monthly or yearly renews automatically at the end of each period, and is charged again, until you cancel it. You can cancel at any time from your account's billing settings in Certly. Your plan then stays active until the end of the period you have paid for, and is not renewed.
Refunds
Payments are not refundable, except where these terms say otherwise or the law requires it. If we end your access without a breach of these terms on your part, we refund the part of any period you have paid for and will not receive.
Using it fairly
When you use Certly, you must not:
- break the law, or help anyone else to
- put anything into it that you do not have the right to use, or that infringes anyone's rights
- upload anything harmful, such as a virus or other malicious code
- try to get into any part of it, or anyone's data, that you are not allowed to reach
- overload, disrupt or interfere with it, or with anyone else's use of it
- use it to harass, threaten or abuse anyone, or to send messages people have not asked for
- copy, take apart or reverse engineer it, except as far as the law allows
- resell or sublicense access to it without our written agreement
We may suspend or close an account that breaks these rules. Where we can, we will tell you first and give you the chance to put it right.
What you put in, and what is ours
You keep ownership of what you put into Certly. You let us store, copy and process it only as needed to provide Certly to you and the people you let use it. You are responsible for having the right to put it there. Certly, this website and everything in them that is not yours belong to us or the people we license them from. You may use Certly as these terms allow, and in no other way.
Your personal data
How we handle personal data is explained in our privacy policy, the services that help us provide Certly and our cookie statement.
Ending
You can stop using Certly at any time and delete your account from Settings in Certly.
We may stop providing Certly. If we do, we will tell you before it stops and refund any amount you have paid for a period you will not receive. We may suspend or close your account straight away if you seriously or repeatedly break these terms.
Our responsibility to you
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else the law does not allow to be limited or excluded.
Subject to that: as far as the law allows, Certly is provided as it is, and we do not promise that it will always be available or free of errors; we are not liable for any loss of profit, revenue, goodwill or anticipated savings, or for any indirect or consequential loss; and our total liability arising out of or in connection with these terms in any 12 months is limited to the greater of the amounts you paid us for Certly in the 12 months before the event the claim is about, and £100.
Changes to these terms
We may change these terms, for example when the law or Certly changes. When they change, the date at the foot of this page changes with them. If a change matters to you, we will tell you before it takes effect, by email if you have an account. If you do not accept it, you can cancel before it does.
The law that applies
These terms, and any dispute or claim arising out of or in connection with them, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
